Terms of Service

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and PT Nusantara Ekso Teknologi ("Vlint," "we," "us," or "our") governing your access to and use of the Vlint platform and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Service Description

Vlint provides AI-powered customer service automation solutions, including but not limited to:

  • AI voice agents for phone-based customer interactions
  • WhatsApp Business API integration and automation
  • Chat-based customer support automation
  • CRM integrations and data synchronization
  • Analytics, reporting, and insights dashboards
  • API access for custom integrations

2. Account Registration and Access

2.1 Account Creation

To use our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

2.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using our Services, you represent and warrant that you meet these requirements.

2.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

3. Subscription and Payments

3.1 Subscription Plans

Our Services are offered through various subscription plans as detailed on our pricing page. You agree to pay all fees associated with your selected plan.

3.2 Billing

  • Payment Method: You must provide a valid payment method
  • Automatic Renewal: Subscriptions automatically renew unless cancelled
  • Price Changes: We may change prices with 30 days' notice
  • Taxes: Prices exclude applicable taxes unless stated otherwise
  • Failed Payments: Service may be suspended for failed payments

3.3 Refunds

Refunds are provided at our discretion. Monthly subscriptions are generally non-refundable. Annual subscriptions may be eligible for pro-rated refunds within the first 30 days.

4. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit spam, malware, or harmful content
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm others
  • Impersonate others or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble our technology
  • Use the Services for benchmarking or competitive analysis
  • Resell or redistribute the Services without authorization

5. Data and Privacy

5.1 Customer Data

You retain all rights to data you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Services.

5.2 Data Protection

We implement industry-standard security measures to protect your data. Our data practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

5.3 Data Backup and Loss

While we maintain regular backups, you are responsible for maintaining your own backups of critical data. We are not liable for data loss except as required by law.

6. Intellectual Property

6.1 Our Property

The Services, including all technology, software, content, trademarks, and intellectual property, are owned by Vlint and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Services.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Services, we may use them without obligation or compensation to you.

7. Service Level Agreement

7.1 Uptime Commitment

We strive to maintain 99.9% uptime for our Services (excluding scheduled maintenance). Enterprise customers receive additional uptime guarantees as specified in their agreements.

7.2 Maintenance

We perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

8. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES OR INTEGRATIONS

9. Indemnification

You agree to indemnify and hold harmless Vlint from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Customer Data

10. Third-Party Services

The Services may integrate with third-party services (e.g., CRM systems, telephony providers). Your use of third-party services is subject to their terms and conditions. We are not responsible for third-party services.

11. Modifications to Services and Terms

11.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

11.2 Terms Updates

We may update these Terms from time to time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases.

12.3 Effect of Termination

Upon termination:

  • You must cease using the Services
  • You may export your data within 30 days
  • We may delete your data after the retention period
  • Outstanding fees remain due

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Indonesia, without regard to conflict of law principles.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration in Jakarta, Indonesia, except where prohibited by law. You waive the right to participate in class actions.

13.3 Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any supplemental agreements, constitute the entire agreement between you and Vlint.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

14.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.

16. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You will not use the Services in violation of any trade sanctions or embargoes.

17. Government Users

If you are a government entity, the Services are "Commercial Items" as defined in applicable regulations, and your use is subject to these commercial Terms.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
